Terms of Service
Clear, fair terms that define our relationship and set expectations for every project. This document outlines the rights, responsibilities, and processes we follow to ensure successful collaborations.
Our Foundational Principles
These terms are built on a foundation of mutual respect and clarity. We believe that a well-defined agreement prevents misunderstandings and allows both parties to focus on the creative work. This document is not intended to be a barrier, but a framework for trust.
By engaging with crezivo, you acknowledge that you have read, understood, and agree to be bound by these terms. If you have any questions before proceeding, please reach out to our team directly. Transparency is a cornerstone of our process.
Clarity before creativity.
Key Definitions & Scope
"The Project"
Definition
Refers to the specific design and development services outlined in the mutually signed Project Proposal or Statement of Work (SOW). This document governs the delivery, payment, and acceptance of that defined scope.
"Client Assets"
Definition
All content, brand materials, logos, and data provided by you for use in the project. You warrant that you own or have the necessary rights to all Client Assets and indemnify crezivo against any claims arising from their use.
"Deliverables"
Definition
The final work products, including source files, design assets, and deployed code, as specified in the SOW. Delivered upon receipt of final payment, unless otherwise agreed in writing.
"Change Requests"
Definition
Any request to alter the project scope, deliverables, or timeline after the project has commenced. All change requests require a written Change Order, which may impact cost and schedule.
Project Timeline & Approval
We commit to the timeline outlined in the SOW. However, your timely feedback and provision of Client Assets are critical to maintaining momentum. We will communicate schedule adjustments promptly if delays occur on either side.
Approval is a two-step process:
1. Final designs are presented for your review and sign-off.
2. Upon approval, we proceed to development and final delivery.
After final delivery, a 14-day "bug fix" window is included for any critical issues not identified during testing. Post-launch support or maintenance is available separately.
Client Rights & Responsibilities
- You retain ownership of your final logo, brand guidelines, and specific content you provide.
- You grant crezivo a limited license to display the project in our portfolio, case studies, and marketing materials.
- You are responsible for providing timely, consolidated feedback to avoid project delays.
- You are responsible for ensuring your final deliverables comply with any third-party platform terms (e.g., WordPress, Shopify).
Common Pitfalls & How to Avoid Them
1. Scope Creep
The Problem: Adding features mid-project without adjusting budget or timeline.
The Fix: We formalize all requests via a Change Order with clear cost and schedule impacts.
2. Stalled Feedback
The Problem: Multi-week delays waiting for internal approvals.
The Fix: We establish a single point of contact and agreed-upon feedback windows in the SOW.
3. Vague Proposals
The Problem: "Build a website" without defining pages, features, or success metrics.
The Fix: Our proposals itemize every deliverable, assumption, and out-of-scope item.
Summary
These terms protect both parties by defining clear deliverables, timelines, and communication protocols, turning a complex project into a predictable process.
Core Principle
Transparency over assumptions. We document everything to ensure alignment from proposal to launch and beyond.
Next Step
Review with your legal team. We are available to clarify any clause before you sign our agreement.
Payment Terms
Invoices are due within 15 days. Late payments may incur a 1.5% monthly fee.
Liability & Warranty
- • crezivo's total liability is limited to the total fee paid for the project.
- • We warrant our work for 30 days against bugs not caused by third-party systems or code changes after delivery.
- • We are not liable for indirect, consequential, or incidental damages (e.g., loss of business revenue).
- • You are responsible for testing the final deliverables before going live.
A Practical Note on "Ownership"
We often get asked, "Who owns the design files?" The industry nuance is this: you own the final *result* (your website), but we retain the rights to the *process* (our design system, code snippets, and techniques) unless explicitly transferred for a significant fee. This allows us to improve our craft for all clients while giving you full control of your digital presence.
